These Terms of Service ("Terms") govern your access to and use of the website located at https://www.solaceprimarycare.com (the "Site") and any related content, features, or services made available by Solace Primary Care Medical, Inc., a California professional medical corporation ("Solace Primary Care," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Site.

We may revise these Terms at any time in our sole discretion by updating this page. Continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms.

2. About Solace Primary Care

Solace Primary Care is a Direct Primary Care (“DPC”) membership medical practice founded by Dr. Shehzein Khan, DO, a board-certified family medicine physician, with a clinical focus on women's health and hormonal care, serving patients in and around Newport Beach and Irvine, California.

3. No Doctor-Patient Relationship; Not for Emergencies

The Site and its content are provided for general informational purposes only and do not constitute medical advice, diagnosis, or treatment. Viewing or interacting with the Site — including submitting a contact form, scheduling an inquiry, or reading educational or social media content — does not create a doctor-patient relationship between you and Solace Primary Care or Dr. Khan. A doctor-patient relationship is formed only after you have enrolled as a member and completed our required intake process.

The Site is not intended for use in medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use the Site, email, or any messaging feature to communicate information requiring urgent or emergency attention.

4. Membership Services

Direct Primary Care services — including membership enrollment, fees, the scope of covered services, and cancellation terms — are governed by a separate Membership Agreement executed between you and Solace Primary Care, and not by these Terms. If these Terms conflict with a signed Membership Agreement regarding clinical services, the Membership Agreement controls.

5. Eligibility and User Conduct

By using the Site, you represent that you are at least 18 years of age, or are accessing the Site on behalf of a minor with the involvement of a parent or legal guardian. You agree that you will not:

• modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software on the Site;

• remove any copyright, trademark, or other proprietary notice from any materials on the Site;

• copy or "mirror" any part of the Site on another server;

• use the Site in a manner that disrupts, damages, or overburdens our networks, servers, or any associated service;

• transmit or publish any harassing, defamatory, obscene, fraudulent, or unlawful material through the Site;

• use the Site in violation of any applicable federal, state, or local law or regulation, including laws governing the privacy of health information;

• use the Site to send unsolicited advertising, spam, or unauthorized commercial communications;

• harvest or collect data about other users or patients without their consent; or

• use the Site in a manner that infringes the privacy, intellectual property, or other rights of Solace Primary Care or any third party.

6. Intellectual Property

All content on the Site — including text, graphics, logos, the Solace Primary Care name and marks, images, and software — is owned by or licensed to Solace Primary Care Medical, Inc. and is protected under applicable U.S. copyright and trademark law. We grant you a limited, revocable, non-exclusive license to view and download a single copy of Site materials for your own personal, non-commercial reference. This license does not transfer any ownership rights, terminates automatically if you violate these Terms, and may be revoked by us at any time.

7. Privacy and Health Information

Your use of the Site is also governed by our Notice of Privacy Practices and Privacy Policy, which describe how we collect, use, and protect personal and health information consistent with the Health Insurance Portability and Accountability Act (“HIPAA”) and California law protecting the confidentiality of medical information. Please do not submit protected health information through general contact or website forms that are not designated as secure, HIPAA-compliant channels.

8. Accuracy of Materials; No Medical Advice

Materials on the Site, including any educational, wellness, or hormonal-health content, are general in nature, may not reflect the most current medical developments, and are not a substitute for individualized medical evaluation. Because some jurisdictions do not allow the exclusion or limitation of certain damages, some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Solace Primary Care, Dr. Khan, and their affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of the Site or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any breach of these Terms or for any other reason in our sole discretion. Termination of Site access does not affect the terms of any separate Membership Agreement then in effect.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

15. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California, for any dispute arising out of or relating to these Terms.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
